Since 2023, NQPHN has operated a skills-based Board model supported by a Board Skills Matrix. The matrix is reviewed annually as part of Board renewal and succession planning to assess the collective skills, experience, knowledge and diversity required for effective governance. The review takes into account director tenure and anticipated vacancies arising from directors completing their terms at the relevant Annual General Meeting.

The annual skills audit identifies any capability gaps that may emerge following director retirements or term completions. The findings are considered by the Nomination and Remuneration Committee, which oversees a structured recruitment process to attract and assess candidates against the identified skills requirements, Board competencies, and organisational needs.

The Committee undertakes candidate screening, interviews and due diligence before making recommendations to the Board. Recruitment activities are specifically targeted to address identified gaps and maintain an appropriate balance of skills, experience and regional representation. Where skills gaps are identified, these are addressed through director recruitment, succession planning and, where appropriate, ongoing professional development opportunities for existing directors.

This framework provides a transparent and evidence-based approach to Board composition, ensuring NQPHN maintains the collective capability required to meet its governance, strategic and community responsibilities.

The FY2025-26 Board Skills Matrix was endorsed by the Nominations and Remuneration Committee on 23 July 2026, and subsequently approved by the Board via Out of Session Circular Resolution on 13 August 2026.
